It depends on the diet you pick. Any form of low carb or low glycemic is effective. Either way you go, no trans-fat, sugar or white flour.
As for exercise do mostly weight lifting and a little cardio. Do some interval training when you work up to it.

Fresh fruits and vegetables as for protien try chicken instead of beef. Rice cakes or sugar free jello and puddings for dessert.
Fruits, vegetables, plain popcorn, lean meat. Drink a lot of natural spring water or distilled water. Walk frequently. use the stairs instead of using the elevator. There are some really good exercise tapes that don't require expensive equipment. It depends on your preference of exercise but make sure you challenge yourself. Good luck.
