You have to do both : exercise AND diet.

Do not eat anything over 300 calories/serving.
Do not eat anything with more than 5g of fat/ serving.
Do at least 30 min of cardio/day (you body starts burning stored fat only after 30 min of intense cardio)

Get at least 8 hours of sleep/day. People who oversleep or undersleep are prone to weight gain.
Reduce stress in your life. Stress stimulates a hormone that results in lower belly fat.
Do not eat after 9pm.

overall: at least 1hr or exercise/day (including cardio and weightlifting) + a healthy diet (reduced fat and calories) will get you great results. You will be lean AND toned. However, it may take for you a few months to start seeing the results. But, this is the healthiest way to lose weight and maintain the results rather that gaining back the pounds after some crazy diet.

The best method is a healthy diet and exercise. Don't cut out foods you love, just decide how healthy they are and then moderate. I tried to cut our chips and donuts and started binging. Unless you have some serious health issues I wouldn't cut out any foods you love, but just cut back on them. Otherwise you'll find yourself craving foods until you go nuts and eat lots of them. Also the exercise thing is a major issue. Get off your butt and move, or if you insist on sitting around for a bit have some weights at a desk and use your arms for a bit. I find that starting is the hardest part but once you start you feel better and stick with it for awhile. Just keep trying until you find something that works for you. Also, talk to you doctor for any advice.
